Article I Name
a. The name of the organization shall be the Friends of Fort Davidson.
Article II. Definitions
a. Fort Davidson State Historic Site. Reference to Fort Davidson State Historic Site includes the all heirs and assigns to the property currently owned by the Department of Natural Resources, Division of State Parks known as Fort Davidson State Historic Site regardless of the name given to the property.
b. Individual Member. Any person subscribing to the purpose of the Friends of Fort Davidson, who upon application, is accepted.
c. Group Member. Any group subscribing to the purpose of the Friends of Fort Davidson, who upon application, is accepted. A group may change their delegate to the organization at their pleasure. Groups are only entitled to one delegate vote.
d. Term of the Board. The term of the board shall roughly coincide with the time of the reenactments held at Fort Davidson State Historic Site. Example: Reenactment held September 27, 2014. The board shall be elected at a meeting held up to six months after the re-enactment.
e. Written notice. Written notice may be given via mail, serving same in person or via e-mail.
Article III Not for Profit Organization
a. The Friends of Fort Davidson shall be incorporated under the “General Not for Profit Corporation Law” of the State of Missouri. The registered and principal office of the Corporation shall be the office of the site, in the city of Pilot Knob, in the State of Missouri. The registered agent of the Corporation may be the Site Administrator otherwise it must be an officer of the board. The Friends of Fort Davidson shall have no shares or capital stock.
Article IV Purpose
a. To promote the program and welfare of the Fort Davidson State Historic Site.
b. To offer an opportunity for those persons and organizations interested in fostering educational efforts in Civil War history to work with the Fort Davidson State Historic Site in promoting sound educational programs and exhibits in this field.
Article V Membership
a. Membership in the organization shall be open to any person or group that subscribes to the purpose of the Friends of Fort Davidson and that, upon making application, is accepted.
Article VI. Governing Body
a. The business and affairs of this corporation shall be governed and controlled by the board of directors consisting of at least a chairperson, vice-chairperson, secretary, treasurer, and 3 other board members. The Board of Directors shall be elected for in the year following re-enactments at the site and shall hold office until the year following the next re-enactment held there. Elections shall take place at the annual meeting of the Friends of Fort Davidson.
Article VII Meetings
a. The board of directors shall meet at least once a year. At least three members of the board members shall constitute a quorum.
b. The full membership of the Friends of Fort Davidson shall meet between January and May of each year and at any other time called by the board.
c. Special meetings of the Friends of Fort Davidson may be called by the chairperson, the board or by a written request signed by at least 20% of the membership, stating the place, date, time and reason for the meeting. Notice must be submitted to the membership not less than ten days before the date of the meeting.
Article VIII Funds
a. The funds of the Friends of Fort Davidson shall consist of gifts, grants and awards given the Fort Davidson State Historic Site through the Friends of Fort Davidson for the support of immediate and ongoing programs.
b. Three trustees shall be appointed to administer the financial affairs of the Friends of Fort Davidson. One trustee shall the treasurer, one trustee shall be the Chairperson and one Trustee shall be appointed by the board of directors. The trustees shall be appointed to a term coinciding with the term of the board of directors.. The trustees shall be responsible for all investments of the Friends of Fort Davidson’s funds and for any expenditures. All actions of the Trustees must meet with the statutes of the State of Missouri.
c. Two trustees must approve expenditures over $100. The treasurer or chairperson may approve expenditures up to $100 subject to audit.
Article IX Officers
a. Officers shall be elected at the first general meeting in the year following a re- enactment at the site. The offices shall consist of chairperson, vice-chairperson, secretary, and treasurer. Their terms of office shall be as described in article IV.
b. Chairperson: The chairperson shall preside at all meetings of the Friends of Fort Davidson and of the board of directors. The chairperson shall have general supervision over all affairs of the Friends of Fort Davidson. The chairperson shall appoint all committees and be an ex-officio member of each.
c. Vice-Chairperson: The vice-chairperson, in the absence of the chairperson, shall assume all the duties of that office.
d. Secretary: The secretary shall keep all records of the Friends of Fort Davidson proper to be written. The secretary shall be responsible for all of the correspondence of the Friends of Fort Davidson. The secretary shall supply a copy of the minutes of all meetings to each member of the board of directors.
e. Treasurer: The treasurer shall receive all gifts to the Friends of Fort Davidson and proceeds from the Friends of Fort Davidson’s activities. All checks shall be signed by two of the three trustees. The treasurer shall give a financial report at all regular meetings of the board of directors.
f. In the event of the death or resignation of the chairperson, vice-chairperson, secretary, treasurer, or any board member, the board shall appoint a member of the Friends of Fort Davidson to fill the vacancy until the next election
.Article X Committees
a. Nominating Committee: The nominating committee shall consist of three members. Not less than thirty days before the general meeting in a year following a re-enactment, the committee shall submit to the membership, by mail or via e-mail, a slate of candidates for election to the board of directors. Additional nominations may be accepted from the floor.
b. Auditing Committee: The auditing committee shall consist of at least two members of the Board of Directors, excluding the treasurer. The committee shall make an annual audit, as of December 31st , of the books of the treasurer. The results of this audit shall be presented at the general meeting in a year following a re-enactment.
c. Other committees may be appointed at the discretion of the chairperson.
Article XI Amendments
a. Amendments to the Bylaws may be made by an affirmative vote of a two-thirds majority of the members present at any meeting of the Friends of Fort Davidson, providing that thirty day’s written notice of the proposed amendment has been given to the membership.
